taico GmbH ("taico", "we", "us") operates a modular, cloud-based media investment platform — the Liquid Budget Machine — that creates complete transparency over all media investments, enhances flexible planning updates, and includes automated sourcing for the next level of marketing efficiency. The taico suite is a modular platform — from providing actual transparency about media & CRM spendings to updates of plans and fast execution of insights with immediate sourcing. Our platform serves advertisers, agencies, and advertiser-agency partnerships with tailored operating models for every market participant. Our platform comprises the following modules: • MediaReport — Real-time reporting module. Always-current status and granular insights into your running campaigns across all channels. Spot underperformance and opportunities immediately. • MediaCore — Media transparency module that conducts & condenses the entire Media & CRM data to one single point of truth. Get full transparency & control over all your media & CRM investments across digital and classical channels, whether in-house or via service providers such as agencies. • MediaProphet — Plan update module. Immediately work insights from MediaCore into your plan. AI-based, automated generation of short- & medium-term optimization for upcoming spendings, with full impact forecasting and true RoaS calculation. • MediaAviator — Sourcing automation module. Streamline and automate your media buying process across multiple channels and platforms. Save time while ensuring optimal ad placements with intelligent budget allocation. Additionally, taico provides Connected TV (CTV) advertising services, combining premium video content with performance-oriented control and real-time analytics through the taico MediaReport. These Terms of Service ("Terms") govern your access to and use of the taico platform, website (taico.io), and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through the platform. Continued use of the Services after such notification constitutes acceptance of the updated Terms.

To access the taico platform, you must create a user account. You are responsible for: • Providing accurate and complete registration information • Maintaining the confidentiality of your login credentials • All activities that occur under your account • Notifying us immediately of any unauthorized use of your account You may not share your account credentials with third parties or allow multiple users to access the platform through a single account unless expressly authorized under your service agreement. taico reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where practicable.

Subject to your compliance with these Terms and any applicable service agreement, taico grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. You agree not to: • Copy, modify, distribute, or create derivative works based on the Services • Reverse engineer, decompile, or disassemble any part of the platform • Use the Services for any unlawful purpose or in violation of applicable regulations • Attempt to gain unauthorized access to any systems or networks connected to the Services • Interfere with or disrupt the integrity or performance of the Services • Resell, sublicense, or commercially exploit the Services without our written consent Any data you upload or input into the platform remains your property. You grant taico a limited license to process this data solely for the purpose of providing the Services to you.

All intellectual property rights in and to the Services — including but not limited to software, algorithms, models, designs, trademarks, logos, documentation, and content — are and remain the exclusive property of taico GmbH. The taico name, logo, and all related product names (MediaReport, MediaCore, MediaProphet, MediaAviator) are trademarks of taico GmbH. You may not use these marks without our prior written consent. Any feedback, suggestions, or ideas you provide regarding the Services may be used by taico without any obligation or compensation to you. Nothing in these Terms transfers any intellectual property rights to you, except for the limited license to use the Services as described herein.

The taico platform integrates with various third-party advertising and analytics platforms, including but not limited to Google Ads, Google DV360, Meta (Facebook/Instagram), and other media buying platforms (collectively, "Third-Party Services"). taico is not responsible or liable for: • The availability, reliability, or performance of any Third-Party Services • Changes to APIs, policies, terms of service, or data practices implemented by Third-Party Services • Data loss, inaccuracies, or discrepancies caused by Third-Party Services • Service interruptions, outages, or downtime of Third-Party Services • Any actions taken by Third-Party Services regarding your accounts or campaigns Your use of Third-Party Services is subject to the respective terms and conditions of those services. taico does not endorse, warrant, or assume any responsibility for Third-Party Services or their content. While we strive to maintain up-to-date integrations, changes made by third-party providers may temporarily affect the functionality of certain features within the taico platform. We will make reasonable efforts to update our integrations in a timely manner but cannot guarantee uninterrupted connectivity with Third-Party Services.

taico shall be liable without limitation for damages caused by intent or gross negligence, as well as for damages resulting from injury to life, body, or health. In the case of slight negligence, taico shall only be liable for breach of essential contractual obligations (cardinal obligations). In such cases, liability shall be limited to the foreseeable, typically occurring damages. taico shall not be liable for: • Indirect, incidental, or consequential damages • Loss of profits, data, or business opportunities • Damages arising from force majeure, system failures beyond our control, or third-party service disruptions The limitations of liability set forth above shall not apply insofar as taico has assumed a guarantee or to the extent that mandatory statutory liability (e.g., under the German Product Liability Act) applies. taico provides the Services on an "as is" and "as available" basis. While we strive for maximum uptime and reliability, we do not guarantee uninterrupted or error-free operation of the platform.

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Munich, Germany, provided the user is a merchant (Kaufmann), a legal entity under public law, or a public-sector special fund. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision. These Terms constitute the entire agreement between you and taico regarding the use of the Services, superseding any prior agreements or communications.
